Mindtree Limited was an Indian multinational information technology services and consulting company, headquartered in Bangalore. Mindtree was acquired by Larsen & Toubro in 2019, before being merged with L&T Infotech (LTI) in 2022 to form LTIMindtree.[6][7][8]

History

In August 1999, Mindtree Consulting Private Limited was founded by ten IT professionals, three of which invested through an entity incorporated in Mauritius.[10] It was funded by the venture capital firms Walden International and Sivan Securities and received further funding in 2001 from the Capital Group and Franklin Templeton.[11]

It became a public company in December 2006, and was listed on the Bombay Stock Exchange and National Stock Exchange. Its IPO debuted in February 2007, and closed in February 2007.[12] The IPO was oversubscribed by more than a hundred times.[13]

Mindtree announced a new brand identity and logo, with the slogan "Welcome to possible" in September 2012.[14] In 2012, Mindtree set up its first U.S. delivery center (USDC) in Gainesville, Florida, under the leadership of Scott Staples, co-founder and Global Head of Sales.[15]

In 2017, the company had 43 offices in over 17 countries.[16]

Larsen & Toubro (L&T), an infrastructure major and one of the largest conglomerates in India, took over control of Mindtree in June 2019 and currently has a 61.08% stake in the company.[17][18][5] L&T's takeover of Mindtree was described at the time as the first hostile takeover in the Indian IT industry.[19][20]

In March 2020, Mindtree announced the appointment of Dayapatra Nevatia as COO with immediate effect. He joins the company from Accenture where he was the managing director as well as the director for delivery for advanced technology centers in India.[21]

In May 2022, L&T announced that Mindtree will be merged into Larsen & Toubro Infotech (LTI).[22] The merger was completed in November 2022 and the combined entity was named LTIMindtree.[23][24]

Mindtree's workforce includes thousands of employees who serve as Microsoft Azure outsourced support agents.[27]

Philanthropy

Mindtree Foundation is a unit of Mindtree that works towards supporting the lives of people with disabilities and enhancement in the quality of primary education.[45] Mindtree Foundation was incorporated in November 2007, under section 25 of Companies Act. Mindtree's employees, assistive technologies and associations with NGOs led to the following:[46]

  • The launch of 'Udaan', a scholarship program to support the medical education of underprivileged students in association with Narayana Hrudayalaya Charitable Trust.[47]
  • The launch of 'I Got Garbage', a cloud-based platform aimed to simplify waste management and transform every waste picker in Bengaluru, India, into an entrepreneur through a structured and governed waste management framework.[48]
  • Individual Social Responsibility – Employees had joined the cause of donation of old clothes/toys/books, distribution of solar lanterns, caring for the elderly, cleaning up the city, blood and organ donation.[49]

History

Founding and Early Development

Mindtree was founded on August 5, 1999, in Bengaluru, India, by ten IT professionals with experience from companies such as Wipro, Lucent Technologies, and Cambridge Technology Partners.[9] Among the key founders were Subroto Bagchi, Rostow Ravanan, Ashok Soota, Krishnakumar Natarajan, and N.S. Parthasarathy.[10] Three of the founders provided the initial investment through an entity incorporated in Mauritius.[11] The company established its first office in Bengaluru to serve as the headquarters for its operations.[12] The firm was formally incorporated as Mindtree Consulting Private Limited, focusing initially on IT services in internet technologies, e-commerce applications, and Y2K compliance remediation, amid the burgeoning demand for digital solutions at the turn of the millennium.[13][14] This positioning allowed Mindtree to navigate the challenges of the dot-com bust in 2000–2001, when many tech ventures faltered, by emphasizing practical software development and consulting for enterprise clients transitioning to web-based systems.[12] A pivotal early milestone came in December 2001, when Mindtree secured its first major IT outsourcing partnership with Volvo Information Technology, which provided a stable revenue stream and validated the company's capabilities in software services shortly after the economic turbulence of the dot-com collapse.[15] This deal marked the operational ramp-up for Mindtree, enabling it to build momentum in global outsourcing. In June 2005, Mindtree acquired Linc Software Services Private Limited, a Bangalore-based firm specializing in application development and maintenance for mid-range systems, in an undisclosed stock and cash deal that expanded the company's capabilities into product engineering services.[9][17] The company underwent a name change to MindTree Consulting Limited in November 2006, receiving a fresh certificate of incorporation from the Registrar of Companies, Karnataka, on November 6. This rebranding preceded its initial public offering (IPO) in February 2007, where it issued 5,593,300 equity shares at ₹425 each on the Bombay Stock Exchange (BSE) and National Stock Exchange (NSE), raising approximately ₹237.72 crore. The proceeds were allocated toward funding a new development center in Chennai, prepaying certain loans, and general corporate purposes, including initiatives to support global expansion.[18][19] By 2010, Mindtree entered the public sector through a partnership with the Unique Identification Authority of India (UIDAI) under the Government of India, securing a contract on June 17 to serve as the development partner for building the Aadhaar application. Siddhartha, for about ₹3,210 crore, prompting an open offer for an additional 31% stake. It acquired Discoverture Solutions, a US-based provider of property and casualty insurance solutions, for $15 million, adding over 300 specialists and marquee clients in the North American insurance market.[53] The same year, Relational Solutions Inc., a US analytics firm focused on consumer goods, was bought for $10 million to enhance data analytics and business intelligence capabilities.[54] Additionally, Bluefin Solutions, a UK-based SAP consultancy, was acquired for £42.3 million (approximately $66 million), bringing expertise in SAP HANA implementations and boosting Mindtree's European presence in enterprise resource planning services.[55][47] In 2016, the $50 million acquisition of Magnet 360, a US Salesforce Platinum consulting partner, expanded Mindtree's customer relationship management offerings, particularly in marketing automation and sales cloud solutions for retail and BFSI clients.[48][56] Overall, Mindtree completed seven acquisitions by 2019, primarily in digital and cloud domains, before its acquisition by Larsen & Toubro.[57] Following Larsen & Toubro's majority stake acquisition in Mindtree in 2019, the company's inorganic expansion continued, with the acquisition of NxT Digital Business from the L&T Group in 2021 for Rs 198 crore, integrating IoT and AI platforms for Industry 4.0 applications in manufacturing and smart infrastructure.[58] By 2022, these efforts had resulted in a total of eight acquisitions overall, with no major divestitures reported, emphasizing sustained focus on inorganic growth for domain enhancement.[10] Mindtree's key subsidiaries supported its global operations, primarily in delivery centers and client-facing entities. The LTIMindtree Foundation (formerly the Mindtree Foundation, the philanthropic arm of Mindtree), was formally established on November 20, 2007, as a not-for-profit organization dedicated to community development and sustainability.[60] Its roots trace back to 1999, when Mindtree's logo was collaboratively designed by children with cerebral palsy through a partnership with the Spastics Society of Karnataka, underscoring an early commitment to inclusivity.[61] The foundation's initiatives center on the 3Es—Education, Empowerment, and Environment—along with health and nutrition, aiming to address systemic challenges faced by underprivileged communities in India.[62] These efforts are implemented through collaborations with non-governmental organizations (NGOs) to ensure targeted, sustainable impact.[63] In the realm of education, the foundation provides financial scholarships and academic support to underprivileged students, enabling access to quality schooling and higher education opportunities. For instance, in FY 2023-24, it awarded scholarships to 498 deserving students across various regions in India, while also enhancing educational infrastructure in government schools to benefit over 650 students in Odisha and Karnataka.[61] A flagship empowerment program, Samruddhi Abhiyaan, launched in the 2010s, focuses on rural development and sanitation in alignment with India's Swachh Bharat Mission. This initiative promotes healthy living through community-driven activities, such as distributing eco-friendly chulhas to improve household sanitation, impacting 22,283 individuals in Gujarat and reaching thousands of schoolchildren in Karnataka's Kanakapura Taluk over multiple phases.[64][61] Healthcare initiatives under the foundation emphasize accessible services for vulnerable populations, including mobile healthcare units that delivered doorstep medical care to 22,612 elderly individuals in FY 2023-24.[61] Support for persons with disabilities is a core component, with programs aiding 26,123 individuals through comprehensive interventions like skill-building and rehabilitation, facilitated by partnerships with NGOs such as HelpAge India and Access Life.[61] Although not operating fixed free clinics in Bengaluru, these efforts extend preventive and primary care to rural and urban poor, addressing gaps in disability support and elderly health.[65] Employee involvement forms a cornerstone of the foundation's operations, fostering a culture of volunteering that aligns with Mindtree's broader workforce ethos. The #BeTheGiveR campaign, which promotes the "joy of giving," engaged 9,057 volunteers in FY 2023-24, who collectively contributed 20,518 hours across 235 community events in India.[61] Participation has scaled significantly over the years through diverse activities like digital literacy drives and health camps.
